These Terms & Conditions govern access to and use of the Testify Samples platform, website, user portal, and mobile applications operated by Testify Scientific Solutions Private Limited.

Welcome to Testify Samples, a digital research testing platform owned and operated by Testify Scientific Solutions Private Limited ("Company", "we", "our", or "us"). Testify Samples is the brand under which the Company provides its digital services, including its website, researcher web portal, mobile applications, and other digital interfaces.

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Platform immediately.

1. Preamble

Welcome to Testify Samples, a digital research testing platform owned and operated by Testify Scientific Solutions Private Limited ("Company", "we", "our", or "us"). Testify Samples is the brand under which the Company provides its digital services, including its website, researcher web portal, mobile applications, and other digital interfaces.

These Terms & Conditions ("Terms") govern your access to and use of the Testify Samples website, user web portal, mobile applications available through the Google Play Store and Apple App Store, and any other digital interfaces, products, services, features, or tools made available by the Company (collectively referred to as the "Platform").

The Platform enables eligible users to discover research testing services, place orders for testing services, schedule sample pickups where available, make online payments, monitor order progress, receive digital test reports, and access related support services through a unified digital experience.

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, Cancellation & Refund Policy, Grievance Redressal Policy, and any other policies published by the Company from time to time. If you do not agree with these Terms, you must discontinue use of the Platform immediately.

These Terms constitute a legally binding agreement between you and Testify Scientific Solutions Private Limited.

2. Definitions

For the purposes of these Terms, unless the context otherwise requires, the following terms shall have the meanings assigned below:

“Account”
means the registered user profile created by a User to access and use the Platform and Services.
“Applicable Law”
means all applicable laws, rules, regulations, notifications, directions, orders, and other legally binding requirements applicable to the Company, the Platform, the Services, or the relevant transaction or activity, including applicable laws of India.
“Company”
means Testify Scientific Solutions Private Limited, including its successors and permitted assigns.
“Content”
means all text, images, graphics, logos, software, databases, designs, trademarks, documents, reports, and other materials made available through the Platform by or on behalf of the Company.
“Laboratory Partner”
means an testing facility onboarded, listed, or otherwise made available through the Platform for providing Testing Services to Users.
“Order”
means a request placed by a User through the Platform for one or more Testing Services and accepted or confirmed in accordance with the applicable booking and payment process.
“Personal Data”
means personal data relating to an identified or identifiable individual, as defined under Applicable Law.
“Platform”
means the Testify Samples website, User web portal, mobile applications, and other digital interfaces, products, features, or tools operated or made available by the Company under the Testify Samples brand.
“Research Data”
means information, documents, files, specifications, observations, research-related content, or testing-related information submitted or generated by or on behalf of a User in connection with an Order.
“Sample”
means any material, specimen, product, formulation, substance, or research material submitted for a Testing Service through the Platform.
“Services”
means the digital and related services made available by the Company through the Platform, including discovery and booking facilitation of Testing Services, sample pickup coordination, payment facilitation, Order management, Test Report delivery, customer support, and other related platform services made available from time to time.
“Test”
means a specific laboratory analysis or testing activity selected by a User through the Platform.
“Test Report”
means the laboratory testing report, certificate, analytical document, or other testing output issued by the relevant Laboratory Partner in connection with a Testing Service.
“Testing Service”
means a laboratory testing or analytical service offered by a Laboratory Partner through the Platform.
“User”, “You”, or “Your”
means an individual or authorised representative of an organisation accessing or using the Platform or Services, including students, researchers, faculty members, educational institutions, research organisations, industries, companies, and other eligible users.

Unless otherwise stated, capitalised terms used in these Terms shall have the meanings assigned to them above.

3. Eligibility & Acceptance of Terms

The Platform is intended for individuals and organisations seeking legitimate research testing and analytical services. By using the Platform, you represent and warrant that you are legally competent to enter into a binding agreement under the applicable laws of India.

If you are under the age of eighteen (18) years, you may use the Platform only under the supervision and consent of your parent, legal guardian, educational institution, or other legally authorised representative.

If you are using the Platform on behalf of a university, college, research institution, company, partnership, or any other organisation, you confirm that you are duly authorised to act on behalf of such organisation and to bind it to these Terms.

By creating an Account, placing an Order, making a payment, submitting a Sample, or otherwise using any feature of the Platform, you expressly accept these Terms and agree to comply with all applicable laws, policies, and operational requirements published by the Company.

The Company reserves the right to refuse access, suspend services, or terminate Accounts that violate these Terms or where continued access may reasonably compromise the security, integrity, or lawful operation of the Platform.

4. Platform Services

Testify Samples is a technology platform designed to simplify access to research testing services by connecting Users with independent laboratories through a single digital interface.

Through the Platform, Users may browse available testing services, compare laboratories based on the information published on the Platform, place Orders for testing services, schedule sample pickups where available, make secure online payments, monitor order progress, communicate regarding their Orders, and receive completed laboratory reports electronically.

The Company continuously strives to improve the Platform by introducing new features, integrations, and digital services. Such additions may be introduced, modified, or discontinued at the Company's discretion without prior notice, provided that any material changes affecting Users will be communicated where required by law.

The availability of specific services, laboratories, pickup locations, turnaround times, pricing, or other operational features may vary depending on geographic location, laboratory capabilities, regulatory requirements, or operational constraints.

The Company reserves the right to add, modify, suspend, or discontinue any feature, service, laboratory listing, or functionality of the Platform at its sole discretion, subject to applicable laws and reasonable notice where required.

While the Company facilitates access to testing services provided by laboratory partners, Testify Samples does not itself conduct laboratory testing, certify analytical results, or provide scientific, medical, regulatory, or professional opinions based on laboratory reports.

The User acknowledges and agrees that the testing services are performed by the respective Laboratory Partner, and that the Company facilitates access to such testing services through the Platform. The Company acts solely as a technological facilitator and e-commerce marketplace operator, and shall not be deemed a party to, or legally liable for, the execution, scientific accuracy, or contractual performance of such testing services.

5. User Accounts

Certain features of the Platform require Users to create and maintain a registered Account. Registration may require verification through a mobile number, email address, one-time password (OTP), or any other authentication method introduced by the Company.

You agree to provide accurate, complete, and current information during registration and throughout your use of the Platform. You are responsible for updating your Account information whenever there is a material change to ensure the continued accuracy of your profile.

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities conducted through your Account. Account credentials are strictly non-transferable, and you shall not permit any third party to access or transact through the Account.

You must promptly notify the Company if you become aware of any unauthorised access, suspected compromise, or misuse of your Account. In accordance with applicable data protection laws, Users maintain the right to review, update, correct, or request the erasure of their Personal Data associated with their Account through the platform's profile management settings or by contacting our designated grievance officer.

Users shall not create multiple Accounts for fraudulent purposes, impersonate another individual or organisation, use false identities, or attempt to circumvent restrictions imposed by the Company. The Company may suspend, restrict, or permanently terminate any Account found to be in violation of these Terms.

6. Booking Process

The Platform enables Users to submit requests for testing services offered by Laboratory Partners listed on the Platform. All bookings are subject to laboratory partner availability, serviceability, operational feasibility, and successful confirmation through the Platform.

To place an Order, the User may be required to provide details including, but not limited to, the selected test(s), sample information, quantity, pickup location, preferred pickup schedule, billing details, and any additional information necessary for processing the request.

Users are responsible for reviewing all Order details, including the selected laboratory partner, test requirements, pricing, estimated turnaround time (TAT), and applicable charges before confirming the Order. Once an Order is confirmed, modifications may be restricted depending on the processing stage of the Order.

An Order shall be deemed accepted only after successful payment, where applicable, and confirmation by the Platform. The Company reserves the right to decline, cancel, or place an Order on hold if required information is incomplete, payment is unsuccessful, the requested service is unavailable, or processing the Order would violate applicable laws or these Terms.

The Company may communicate Order updates through the Platform, email, SMS, WhatsApp, push notifications, telephone, or any other authorised communication channel associated with the User's Account.

7. Sample Ownership & User Declarations

By submitting a Sample through the Platform, the User represents and warrants that they are the lawful owner of the Sample or have obtained all necessary permissions and authorisations required to submit it for testing services.

The User is solely responsible for ensuring that all information provided in relation to the Sample, including its description, composition, handling requirements, and intended testing purpose, is accurate, complete, and not misleading. Any loss, delay, or additional cost arising from inaccurate or incomplete information shall be the responsibility of the User.

Users shall ensure that Samples submitted through the Platform comply with all applicable laws and do not contain prohibited, illegal, or undeclared hazardous materials, unless such materials have been expressly accepted for transportation and testing in accordance with applicable regulations and the requirements of the selected Laboratory Partner.

The Company reserves the right to refuse pickup, suspend processing, or cancel an Order where a Sample is found to be unsafe, improperly declared, inadequately packaged, prohibited by law, or otherwise unsuitable for transportation or laboratory testing.

Submission of a Sample does not transfer ownership of the Sample or any associated intellectual property to the Company. The User retains ownership of the Sample and any underlying research, subject to the rights necessary for the Company and the selected Laboratory Partner to process the Order and deliver the requested Services.

8. Logistics & Sample Handling

Where sample pickup services are available, Testify Samples may coordinate the collection and transportation of Samples through its own logistics network or authorised third-party logistics partners. The availability of pickup services may vary depending on the location, service coverage, operational capacity, and the nature of the Sample.

Point-of-No-Return Milestone: The moment a sample collection request is status-marked as 'Dispatched' or Logistics Partner or authorised Pickup/Delivery Personnel is assigned to transit toward the designated pickup location, the Platform Fee and Logistic Fee become entirely non-refundable to cover operational mobilization costs, regardless of whether the sample is successfully handed over or subsequently cancelled by the User.

Users are responsible for packaging Samples securely and in accordance with any packaging, labelling, storage, or transportation instructions communicated by the Company or the selected Laboratory Partner. Failure to comply with such instructions may result in delays, rejection of the Sample, or cancellation of the Order.

At the time of pickup, the User or an authorised representative shall ensure that the correct Sample is handed over, appropriately labelled, and accompanied by any documents or declarations required for transportation or testing.

While the Company exercises reasonable care in coordinating logistics, transit timelines are estimates only and may be affected by weather conditions, traffic, public holidays, regulatory restrictions, force majeure events, or other circumstances beyond the Company's reasonable control.

The Company reserves the right to refuse, delay, or discontinue transportation of any Sample that poses a safety risk, violates applicable laws, is inadequately packaged, or is otherwise unsuitable for transport. Any such decision shall be made in the interest of safety, regulatory compliance, and operational integrity.

Additional terms governing sample transportation, cancellations, and liability may be specified in the Company's Cancellation & Refund Policy or any applicable logistics guidelines published on the Platform.

9. Reports & Research Data

Upon completion of testing, the selected Laboratory Partner may upload the test report to the Platform, enabling the User to securely access and download the report through their registered Account, subject to successful completion of the Order and any applicable payment obligations.

Test reports are prepared and issued solely by the respective Laboratory Partner. Testify Samples does not prepare, modify, validate, certify, or independently verify the scientific accuracy, completeness, interpretation, or suitability of any report generated by a laboratory partner.

Users are responsible for reviewing the report upon receipt and notifying the Company or the respective Laboratory Partner of any apparent discrepancies within a reasonable period. Requests for clarification, corrections, or re-testing shall be subject to the policies and technical assessment of the concerned laboratory partner.

The Company shall take reasonable measures to protect Research Data and reports stored on the Platform in accordance with its Privacy Policy and applicable laws. However, Users are encouraged to download and securely retain copies of their reports for future reference.

By using the Platform, the User grants the Company a limited, non-exclusive, and revocable right to process, store, transmit, and manage Research Data solely to the extent necessary to facilitate Orders, provide Services, comply with legal obligations, maintain platform security, and improve operational performance.

The Company shall not disclose confidential Research Data to third parties except where required for processing the Order, complying with applicable law, protecting the legitimate interests of the Company or the User, or where the User has provided consent in accordance with the Privacy Policy.

10. Payments, Pricing & Refunds

The fees displayed on the Platform for testing services are based on the information provided by the respective Laboratory Partners. Applicable taxes, platform fees, logistics fees, convenience fees, or other charges, if any, shall be displayed during the checkout process before the User confirms the Order. Upon payment confirmation, the Platform issues a single, Unified Composite Invoice under a comprehensive 'Analytical Laboratory Testing Services' header. By completing the transaction, the User explicitly acknowledges and consents to this unified invoicing structure, which mathematically consolidates all auxiliary logistics and facilitation fees into the core testing price to assist in institutional reimbursement workflows.

Payments made through the Platform shall be processed using authorised third-party payment service providers. By initiating a payment, the User agrees to comply with the terms and conditions of the respective payment provider in addition to these Terms.

The Company does not store complete payment card details or internet banking credentials. Payment transactions are processed through secure payment gateways that comply with applicable industry security standards.

The Company makes reasonable efforts to ensure that pricing information displayed on the Platform is accurate. However, typographical errors, technical issues, pricing inaccuracies, or system malfunctions may occasionally occur. In such cases, the Company reserves the right to correct the error, cancel the affected Order, or offer the User the option to proceed with the corrected pricing, where applicable.

All applicable invoices, receipts, or payment confirmations shall be made available electronically through the Platform or communicated through the User's registered contact details.

Cancellations, refunds, rescheduling requests, and logistics fees-related refunds shall be governed by the Company's Cancellation & Refund Policy, which forms an integral part of these Terms. By placing an Order, the User acknowledges that they have read and accepted the applicable refund conditions before completing the transaction.

11. Intellectual Property

The Platform, including its software, user interface, design, logos, trademarks, trade names, graphics, content, databases, source code, documentation, text, images, and all associated intellectual property rights, is owned by or licensed to Testify Scientific Solutions Private Limited and is protected under applicable intellectual property laws.

Subject to these Terms, the Company grants Users a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform solely for its intended purpose. This licence does not transfer any ownership or proprietary rights to the User.

Users shall not copy, reproduce, distribute, modify, reverse engineer, decompile, create derivative works from, scrape, extract data from, or commercially exploit any part of the Platform without the prior written consent of the Company.

Users retain ownership of the research documents, files, data, and other content submitted by them through the Platform. By submitting such content, the User grants the Company a limited right to use, process, store, transmit, and display such information only to the extent necessary to operate the Platform, process Orders, provide Services, comply with legal obligations, and improve platform functionality.

Zero-Data Mining Policy: The Company explicitly warrants that it operates a strict Zero-Data Mining Policy; raw machine data, characterization logs, and analytical results generated from your Sample shall never be used for internal AI/machine learning training, shared with competing scholars, or exposed to external data scraping entities, preserving absolute patent and publishing eligibility for the User.

Nothing contained in these Terms shall be construed as granting any right, title, or interest in the Company's intellectual property except as expressly stated herein.

12. User Responsibilities & Prohibited Activities

Users are expected to use the Platform responsibly, lawfully, and in accordance with these Terms. Users shall ensure that all information provided through the Platform is accurate, complete, and kept reasonably up to date.

Users shall use the Platform only for lawful research, educational, academic, commercial, industrial, or other legitimate purposes. Any misuse of the Platform may result in suspension or termination of access and may attract legal action where applicable.

Without limitation, Users shall not:

  • provide false, misleading, or fraudulent information;
  • impersonate another individual, institution, or organisation;
  • submit unauthorised, illegal, prohibited, counterfeit, or unsafe Samples;
  • upload or transmit malicious software, viruses, or harmful code;
  • attempt to gain unauthorised access to the Platform, servers, databases, or user accounts;
  • interfere with the security, functionality, or performance of the Platform;
  • misuse, copy, scrape, or extract Platform data without authorisation;
  • use automated tools, bots, or scripts that adversely affect the Platform's operations;
  • infringe the intellectual property rights or confidential information of any person;
  • engage in abusive, threatening, defamatory, discriminatory, or unlawful conduct while using the Platform or interacting with customer support; or
  • use the Platform in any manner that violates applicable laws or these Terms.

The Company reserves the right to investigate suspected violations and to take appropriate action, including restricting access, cancelling Orders, suspending Accounts, reporting unlawful activities to competent authorities, or initiating legal proceedings where necessary.

13. Privacy & Electronic Communications

The Company is committed to protecting the privacy and personal information of its Users. The collection, processing, storage, use, disclosure, and protection of personal data shall be governed by the Company's Privacy Policy, which is fully aligned with the Digital Personal Data Protection (DPDP) Act, 2023, which forms an integral part of these Terms.

By using the Platform, the User acknowledges that certain personal data may be collected and processed for purposes including account management, order processing, payment facilitation, customer support, regulatory compliance, platform security, fraud prevention, service improvement, and other legitimate business purposes as described in the Privacy Policy.

The User agrees to receive communications from the Company through electronic means, including email, SMS, mobile applications, push notifications, WhatsApp, telephone calls, and other digital communication channels associated with the registered Account.

Such communications may include account verification, order confirmations, payment acknowledgements, pickup schedules, order updates, test report notifications, invoices, policy updates, security alerts, service announcements, customer support communications, and other information necessary for providing the Services.

The User may receive promotional or marketing communications only where permitted by applicable law and subject to the communication preferences made available by the Company. Users may opt out of non-essential promotional communications through the mechanisms provided by the Company; however, operational, transactional, legal, or security-related communications shall continue where necessary for the provision of the Services or compliance with applicable laws.

Electronic records, communications, notices, and agreements transmitted through the Platform shall be deemed to satisfy any legal requirement for written communication under applicable laws, including the Information Technology Act, 2000, where applicable.

14. Disclaimers & Limitation of Liability

14.1 General Disclaimer

The Platform is provided on an "as is" and "as available" basis. While the Company makes reasonable efforts to ensure the availability, functionality, and reliability of the Platform, it does not warrant that the Platform will operate uninterrupted, error-free, secure, or free from technical defects at all times.

The Company may temporarily suspend, restrict, or modify any part of the Platform for maintenance, upgrades, security improvements, regulatory compliance, or operational reasons without incurring any liability to the User.

14.2 Laboratory Partner Disclaimer

Testify Samples is a technology platform that facilitates access to research testing services offered by Laboratories Partner.

The Company does not perform laboratory testing, analyse Samples, validate research findings, certify laboratory results, or provide scientific, technical, regulatory, medical, or professional opinions.

All testing activities, analytical procedures, observations, interpretations, certificates, reports, and related services are the sole responsibility of the respective Laboratory Partner.

14.3 Research Results Disclaimer

Test reports represent the observations and findings of the respective Laboratory Partner based on the Sample submitted for testing.

The Company makes no representation or warranty regarding the scientific accuracy, completeness, reliability, suitability, interpretation, reproducibility, or acceptance of any laboratory report for academic publications, regulatory submissions, patents, research projects, commercial use, or any other purpose.

Users are responsible for independently evaluating the suitability of any report for their intended purpose.

14.4 College Reimbursement Disclaimer

The Company may provide GST invoices, payment receipts, order summaries, or other supporting documentation that may assist Users in seeking reimbursement from their educational institution, research organisation, employer, funding agency, sponsor, guide, or any other third party.

However, Testify Samples does not guarantee reimbursement, financial approval, grant eligibility, institutional acceptance, or reimbursement timelines. Such decisions remain solely within the discretion of the respective institution or funding authority, and the Company shall not be liable for any rejection, delay, or refusal of reimbursement.

14.5 Third-Party Services Disclaimer

The Platform may rely on third-party service partners, including payment gateways, logistics providers, communication service providers, cloud infrastructure providers, mapping services, authentication providers, and other technology partners.

While the Company exercises reasonable care in selecting such service providers, it shall not be responsible for interruptions, delays, failures, or losses arising solely from the services provided by independent third parties beyond its reasonable control.

14.6 Limitation of Liability

To the maximum extent permitted under applicable law, Testify Scientific Solutions Private Limited, its directors, officers, employees, affiliates, and representatives shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to the use of the Platform.

This limitation includes, without limitation, any loss of research data, research outcomes, publication opportunities, academic or commercial losses, business interruption, loss of profits, reputational harm, delays, third-party failures, or any damages arising from testing services performed by Laboratory Partners.

Nothing contained in these Terms shall exclude or limit liability where such exclusion is prohibited under applicable law.

15. Indemnity

The User agrees to indemnify, defend, and hold harmless Testify Scientific Solutions Private Limited, its directors, officers, employees, affiliates, representatives, and service providers from and against any claims, actions, proceedings, liabilities, losses, damages, costs, penalties, or expenses, including reasonable legal fees, arising out of or relating to:

  • the User's breach of these Terms;
  • any inaccurate, misleading, or unlawful information provided by the User;
  • unauthorised or unlawful submission of Samples;
  • infringement of any intellectual property or proprietary rights;
  • misuse of the Platform;
  • violation of applicable laws; or
  • any act or omission attributable to the User that results in loss or liability to the Company or any third party.

The obligations under this clause shall survive the termination of these Terms.

16. Suspension & Termination

The Company reserves the right to suspend, restrict, or terminate a User's access to the Platform, temporarily or permanently, where it reasonably believes that the User has violated these Terms, applicable laws, or engaged in conduct that may adversely affect the security, integrity, reputation, or lawful operation of the Platform.

Suspension or termination may occur without prior notice where immediate action is reasonably necessary to protect the Platform, other Users, third-party service providers, or to comply with legal or regulatory requirements.

Termination of access shall not affect any rights, obligations, payments, liabilities, or legal remedies that have accrued prior to such termination.

Users may discontinue using the Platform at any time. Any pending Orders, payment obligations, refund eligibility, or legal responsibilities shall continue to be governed by these Terms and the applicable policies.

17. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

The Company and the User shall endeavour to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith discussions and mutual negotiations.

If a dispute cannot be resolved amicably within thirty (30) days, it shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration shall be conducted by a sole arbitrator appointed in accordance with applicable law. The seat and venue of arbitration shall be Pune, Maharashtra, India, unless otherwise agreed by the parties. The proceedings shall be conducted in the English language.

Subject to the above, the courts having jurisdiction in Pune, Maharashtra shall have exclusive jurisdiction over matters arising from or relating to these Terms where judicial intervention is required.

18. Miscellaneous Provisions

These Terms, together with the Privacy Policy, Cancellation & Refund Policy, Grievance Redressal Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between the User and the Company relating to the use of the Platform.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect.

The failure of the Company to enforce any provision of these Terms shall not constitute a waiver of its rights or affect its ability to enforce the same provision or any other provision at a later time.

The Company reserves the right to amend, modify, or update these Terms from time to time to reflect changes in law, business operations, technology, or Platform functionality. Updated Terms shall become effective upon publication on the Platform unless otherwise stated. Continued use of the Platform after such publication shall constitute acceptance of the revised Terms.

Neither the User nor the Company shall be liable for any delay or failure in performing obligations under these Terms where such delay or failure results from events beyond reasonable control, including natural disasters, pandemics, governmental actions, war, civil disturbances, labour disputes, network failures, power outages, cyber incidents, or other force majeure events.

The rights and obligations under these Terms shall be binding upon and inure to the benefit of the respective successors and permitted assigns of the parties.
